1. Acceptance of Terms

By accessing or using CoolHIPAA ("the Platform"), operated by CoolHIPAA LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these terms. If you do not agree to these terms, do not use the Platform.

2. Description of Service

CoolHIPAA provides an online HIPAA compliance training platform for healthcare organizations and professionals. The Platform includes training modules, assessments, progress tracking, certificates of completion, and related tools. CoolHIPAA is an educational training tool and does not provide legal advice or guarantee regulatory compliance.

3. Accounts & Registration

To access training content, you must create an account with a valid email address. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Providing accurate and current account information
• Notifying us promptly of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these terms or are inactive for an extended period.

4. Organization Accounts

Organizations that purchase CoolHIPAA training for their employees may designate administrators who can manage user accounts, view training progress, and access compliance reports within their organization. Administrators are responsible for ensuring their organization's use of the Platform complies with these terms and applicable laws.

5. Acceptable Use

You agree not to:

• Share your account credentials or allow others to complete training on your behalf
• Copy, reproduce, distribute, or create derivative works from CoolHIPAA training content
• Use automated tools, bots, or scripts to access the Platform or complete training
• Attempt to bypass security measures, access other users' data, or interfere with the Platform's operation
• Use the Platform for any unlawful purpose or in violation of any applicable regulations

6. Training Content & Certificates

All training content, including modules, scenarios, assessments, and behavioral gems, is the intellectual property of CoolHIPAA and is protected by copyright law.

Certificates of completion are issued when a learner successfully completes all required modules and assessments. Certificates verify that the individual completed CoolHIPAA training — they do not constitute a legal certification of HIPAA compliance.

We reserve the right to update training content at any time to reflect current regulations and best practices.

7. Pricing & Payment

Pricing for CoolHIPAA training is listed on our website and may vary by plan tier and organization size. All fees are non-refundable unless otherwise specified in a written agreement. We reserve the right to modify pricing with reasonable notice. Continued use of the Platform after a price change constitutes acceptance of the new pricing.

8. Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using CoolHIPAA, you consent to the data practices described in the Privacy Policy.

9. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components. While our training content is developed to reflect current HIPAA regulations, we do not guarantee that completing CoolHIPAA training will ensure compliance with HIPAA or any other law. Organizations remain responsible for their own compliance programs.

10. Limitation of Liability

To the maximum extent permitted by law, CoolHIPAA shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, revenue, or business opportunities, arising from your use of or inability to use the Platform. Our total liability for any claim arising from these terms shall not exceed the amount you paid to CoolHIPAA in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless CoolHIPAA, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Platform, violation of these terms, or infringement of any third-party rights.

12. Termination

We may suspend or terminate your access to the Platform at any time for violation of these terms or for any other reason with reasonable notice. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) will continue to apply.

13. Changes to These Terms

We may update these Terms of Service from time to time. We will notify you of material changes by posting the updated terms on this page and updating the "Last updated" date. Your continued use of CoolHIPAA after changes constitutes acceptance of the updated terms.

14. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Kansas. Any disputes arising from these terms or your use of the Platform shall be resolved through good-faith negotiation, and if necessary, binding arbitration.
